TERMS OF USE

These Terms of Use (“Terms of Use”) apply to all uses of and visits to DynamiteYouthSports.com (DYS.com), and your use of DYS.com is conditioned on your acceptance of the terms and conditions contained in these Terms of Use and our Privacy Policy (“Privacy Policy”), accessible from our home page. Your use of DYS.com constitutes a binding agreement between you and Specialty Sports Promotions, LLC (“SSP”) and your consent to these Terms of Use and our Privacy Policy. We reserve the right to modify these Terms of Use from time to time without notice, and we encourage you to review them whenever you visit DYS.com.

1. United States Law.
You must be at least 18 years of age to participate in any activity that requires you to provide your personal information on DYS.com. Our services are tailored for U.S. audiences and are governed by and operated in accordance with U.S. law. We make no representation that DYS.com is operated in compliance with the laws of any other nation. By using DYS.com and/or providing us with your personal information, you certify that you are at least 18 years of age and waive any claims that may arise under the laws of other nations.

2. Members.
SSP provides youth sporting events. You do not need to become a Member to visit the main areas of the Site. If you choose to register as a Member of DYS.com, you agree to provide true, accurate and complete information about yourself and to update and maintain your personal information to keep it current. Without limiting any other provision of these Terms of Use, if you provide any information that is untrue, inaccurate, or incomplete, or SSP has reasonable grounds to suspect that such is the case, SSP reserves the right to suspend or terminate your account and refuse to you any and all current or future use of the site. You may not assign, transfer or sublicense your rights as a Member to anyone else. All registered Members of DYS.com will have a personal account that includes a username and password. You are solely responsible for any and all activity that occurs under your personal account. If any unauthorized use of your account occurs, you must contact DYS.com immediately.

3. No Unlawful or Prohibited Use.
You may view, download and print information from DYS.com for your personal use only, but you may not remove any trademark, copyright, or notice appearing there. You may not copy, alter, share, reuse, resell, license, create derivative works from or transfer materials from DYS.com for any other reason, without prior written permission from SSP.
You may not use DYS.com for any unlawful or prohibited purpose. You may not use the information or content provided on DYS.com in a way that may suggest any connection with or endorsement of any product or service, other than those provided by SSP, or which violates any property, privacy or other rights. If you choose to use DYS.com, you do so at your own risk and are responsible for compliance with any applicable local laws.
All links to DYS.com must appear as hypertext, without the use of logos or trademarks. You may not use a hyperlink to present materials on DYS.com as your own. Deep-linking is strictly prohibited unless approved by SSP in writing (a deep-link is a hyperlink that bypasses a website’s home page and brings a visitor directly to an interior page). You may not frame DYS.com or any content provided by SSP (framing is an alternative form of linking that allows viewing of a linked web page within a “frame” of the original website). You may not use logos, trademarks, copyrighted materials, or attempt to effect any “matchmaking” advertising by third parties.

4. Payments.
When you register as a Member of DYS.com or purchase products or services from the Site, we may request your name, address, telephone number, e-mail address and certain billing information. This information allows us to verify the authenticity of users and to respond to billing questions. Credit card, debit card, or other account information will be collected by or submitted to a third party operational service provider to conduct the financial transaction in a secured manner; the third party service provider will be solely responsible for all financial transactions and the collection, use, and storage of your personal financial information.

5. Advertisers.
Third party advertisers (“Advertisers”) may present statements, messages, offers, advice, or promotional materials on or through DYS.com. We do not control or endorse any Advertisers. Any dealings with Advertisers found on or through DYS.com, including payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the Advertisers. SSP and its managers, officers, members, affiliates, employees, agents, representatives, suppliers and contractors (all of the foregoing, collectively, the “Representatives”) are not liable for any loss or damage of any sort incurred as a result of any Advertisers on the web site.

6. LIMITED LIABILITY OF Specialty Sports Promotions, LLC.
IN NO EVENT SHALL SSP OR ITS REPRESENTATIVES BE LIABLE FOR ANY DAMAGES (INCLUDING, BUT NOT LIMITED TO, DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL OR CONSEQUENTIAL, LOSS OF USE, LOSS OF DATA, LOSS CAUSED BY A COMPUTER OR ELECTRONIC VIRUS, LOSS OF INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY), CLAIMS OF THIRD PARTIES, OR OTHER LOSSES OF ANY KIND OR CHARACTER RELATED TO THE USE OF DYS.com OR ANY WEBSITE WITH WHICH IT IS LINKED, OR FOR ANY INFORMATION, PRODUCT, OR SERVICE OBTAINED THROUGH DYS.com, EVEN IF DYS.com OR ANY OF ITS REPRESENTATIVES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7. RELEASE; WAIVER; INDEMNIFICATION.
YOU AGREE TO RELEASE, DEFEND, INDEMNIFY AND HOLD HARMLESS DYS AND ITS REPRESENTATIVES FROM AND AGAINST ANY CLAIMS, ACTIONS, COSTS, EXPENSES, OR DEMANDS, INCLUDING, WITHOUT LIMITATION, REASONABLE LEGAL AND ACCOUNTING FEES, RESULTING FROM ANY CONTENT YOU SUBMIT, POST TO, OR TRANSMIT THROUGH DYS.COM, YOUR USE OF DYS.COM, YOUR VIOLATION OF THESE TERMS OF USE, YOUR VIOLATION OF ANY RIGHTS OF ANOTHER, OR OTHERWISE ARISING OUT OF OR RELATING TO YOUR USE OF DYS.com IN ANY WAY. WE RESERVE THE RIGHT TO TAKE EXCLUSIVE CONTROL AND DEFENSE OF ANY SUCH CLAIM SUBJECT TO INDEMNIFICATION BY YOU, IN WHICH EVENT YOU WILL COOPERATE FULLY WITH DYS.com IN ASSERTING ANY AVAILABLE DEFENSES.

8. Legal Notice and Acceptance of Terms of Use and Privacy Policy.
By using DYS.com, you acknowledge that you have read these Terms of Use and our Privacy Policy, and agree to all their terms and conditions. If you do not agree, please do not use DYS.com.
By using DYS.com after our Terms of Use have been revised, you indicate your acceptance of - and agree to be bound by - the revisions. DYS.com is created and controlled by SSP in the State of Minnesota, and these Terms of Use are governed by the laws of the State of Florida (excluding any applicable conflict of laws provisions). The exclusive jurisdiction and venue concerning all disputes arising out of or relating to these Terms of Use or use of DYS.com shall be Dakota County, Minnesota.
DYS.com and its contents are the property of SSP and are protected, without limitation, by U.S. and foreign copyright and trademark laws.

9. No Waiver.
The failure of DYS to enforce any provisions of these Terms of Use or respond to a breach by you or other parties shall not in any way waive its right to enforce subsequently any terms or conditions of these Terms of Use or to act with respect to similar breaches.

10. Termination.
SSP reserves the right, in its sole reasonable discretion, to terminate your access to all or any part of DYS.com at any time without notice.
